CONTEST RULES & REGULATIONS

1. The Seven Rays Script-a-Scene Contest is sponsored by Verve Ball Inc, 10100 Santa Monica Blvd. Suite 1300, Los Angeles, CA 90067. No printed or handwritten scripts will be accepted. You may enter online at www.thesevenrays.com). Our easy-to-use online entry system at http://www.withoutabox.com/login/8612 will work you through the process.

2. ENTRY PERIOD & ENTRY FEES: The Contest begins on November 15th at 12:00am EST. and ends on May 23rd at 12:00am PST. for the Standard Deadline. The following fees correspond with each deadline and must be paid accordingly at time of entry: $(20) for the Standard Deadline; Deadline dates reflect deadlines for electronic submission of scripts. All entries must be electronically submitted by their respective deadlines.

3. The Seven Rays Script-a-Scene Contest is open to any individual who is a legal resident of the fifty (50) United States or the District of Columbia (excluding legal residents of MD, CO, CT and VT) and 18 years of age or older at the start date of The Seven Rays Script-a-Scene Contest and has access to the Internet. Employees, officers, directors and agents (and their immediate families (parent, child, spouse and sibling and their respective spouses, regardless of where they reside) or members of the same households (whether related or not) of Verve Ball Inc, and its respective parents, divisions, affiliates, subsidiaries, agents and advertising agencies (collectively, the “Contest Providers”), are not eligible to participate in the Contest or to win any prize. VOID IN MD, CO, CT, VT AND WHERE PROHIBITED OR RESTRICTED BY LAW. All federal, state and local laws and regulations apply.

4. Entrants may submit multiple entries. Each submission must include its own “New Project Form” (using the Without A Box online entry system by following the directions provided at www.thesevenrays.com and an entry fee (as applicable).

5. All entries should consist of a 2-5 page scene adaptation from any section of The Seven Rays in standard industry format for motion picture screenplays, and must be written in English. SCREENPLAYS OVER 5 PAGES OR UNDER 2 PAGES WILL BE DISQUALIFIED. All necessary information is captured upon submission of digital entry pages. Title pages are not required. Do NOT include personally identifying
information (name, etc.) on any page of your script. If you are using a word processing program that automatically formats screenplays, such as Final Draft, select the “screenplay format” template.

6. Screenplays written by up to two (2) people may be entered in the contest. Only one (1) entry fee is required for such entries. Both writers’ names should be listed on the online entry form (but not on the screenplay). List the writer who will be the primary contact, and include the complete address, telephone number (area code included) and email address for that person only on the online entry form. Both writers must authorize submission of the entry. By clicking submit, both writers authorize the submission. If a screenplay written by two (2) writers is selected as the grand prize winner, Verve Ball Inc will allow both writers to receive individual one-on-one consultations with Jessica Bendinger about their screenplay writing, and both writers will have the option to attend meetings with studio executives and agents.

7. To enter your script electronically, you must submit your screenplay in Final Draft (.FDX, .FDR or .FDS) or .PDF format.

8. If you are using a program that has the capability of including macros in the screenplay file, do NOT include such macros. If macros are included, or if a file contains or appears to contain malicious or other harmful code, Verve Ball Inc may, at its discretion, disqualify the entry (and any other associated entries).

9. Optioned screenplays are not eligible.

10. The Seven Rays Script-a-Scene Contest entrants retain all rights to their screenplays unless such screenplay(s) is selected as the winner and the Sponsor will retain all rights to the entry for further competition purposes. If entrant is selected as the winner, entrant hereby agrees to irrevocably and exclusively grant and assign to Verve Ball Inc (or, if any applicable law prohibits or restricts such assignment, entrant hereby grants to Verve Ball Inc an irrevocable, perpetual, royalty-free, transferable license of) unlimited right, title and interest in and to such entry (including screenplay), including, without limitation, all rights of every kind and nature (whether now known or hereafter devised, including all copyrights therein and thereto and all renewals and extensions thereof), throughout the universe, in perpetuity, for all purposes, in any and all media, whether now known or hereafter devised. Winner agrees to execute and return any additional documents as required by Verve Ball Inc evidencing such ownership.

11. Entries will not be returned. Be sure to retain a copy of all material submitted.

12. By entering the Seven Rays Script-a-Scene Contest, you acknowledge that contest judges receive numerous submissions of ideas, stories and scripts, and that your entry, and the ideas and stories embodied in it, may be similar or identical to other material received and/or developed by one or more of the judges. You agree that you are not entitled to any compensation or credit for use by contest judges of any such other material.

13. Although entrant’s entry shall be based on The Seven Rays, entrant’s contribution must be the original work of the entrant, may not have been previously published, may not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity (except for The Seven Rays). If the entry contains any material or elements that are not owned by the entrant
other than adapted elements of The Seven Rays, and/or which are subject to the rights of third parties other than The Seven Rays, the entrant is responsible for obtaining, prior to submission of the entry, any and all releases necessary to permit the use and exhibition of the entry by Verve Ball Inc in the manner set forth in these Official Rules. Verve Ball Inc will require proof of all required fully executed Production Releases from any entrant selected as the winner and reserves the right to request proof of such documents from any entrant at any time. Failure to provide them may, if requested, render entry null and void. By submitting an entry, entrant warrants and represents that he/she and any persons who are identifiable in the entry or who have otherwise contributed to the entry consent to the submission and use of the entry in the contest and to its use as otherwise set forth herein.

14. Verve Ball Inc grants to eligible entrants a limited revocable, non-sub licensable, license to use the book The Seven Rays for the sole purpose of creating and submitting a screenplay for review and assessment in this contest and entrants may make no further use whatsoever of The Seven Rays or the entry (including screenplay) for any purpose whatsoever. In addition, entrant recognizes all of Verve Ball Inc right, title, and interest in The Seven Rays as well as all derivative works created using The Seven Rays (including the entry) shall vest exclusively to Verve Ball Inc, and entrant must not take and agrees not to take any action that might harm or adversely affect Verve Ball Inc’s rights. No right, title, or interest in and to The Seven Rays except for the limited license granted to entrant in these Official Rules is transferred or created.

15. By participating, each entrant agrees: (a) to abide by these Official Rules and decisions of Verve Ball Inc and judges, which shall be final and binding in all respects relating to this contest; (b) to release, discharge and hold harmless Contest Providers from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the contest, Verve Ball Inc’s or its designees’ use of any entry or any contest-related activity or the acceptance, possession, use or misuse of the awarded prize; and (c) to the use of his/her name, voice, performance, photograph, image and/or likeness for programming, advertising, publicity and promotional or other purposes in any and
all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Verve Ball Inc and its designees, without compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so. By participating, entrant also agrees not to release any publicity or other materials on their own or through someone else regarding their participation in the contest without the prior consent of the Verve Ball Inc, which it may withhold in its sole discretion.

Contest Providers are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered, or garbled entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected
transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the contest, the processing or judging of entries, the announcement of the prize, the incorrect uploading of the screenplay or in any contest-related materials.

Contest Providers are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the contest. Contest Providers are not responsible for injury or damage to any person’s computer related to or resulting from participating in this contest or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the contest or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Verve Ball Inc, will be disqualified and all associated entries will be void. Should any portion of the contest be, in Verve Ball Inc’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Verve Ball Inc, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Verve Ball Inc reserves the right at its sole discretion to suspend, modify or terminate the contest and, if terminated, at its discretion, select the potential winner from all eligible, non-suspect entries received prior to action taken using the judging procedure outlined above.
CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, Verve Ball Inc RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
